Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Sila, LLC ("Sila", "we", "us", or "our") governing your access to and use of the sila.to website, apps, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By using the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be capable of forming a binding contract with us and comply with these Terms and all applicable laws. You may not use the Service if you are prohibited by law from doing so.

3. Accounts and Security

You agree to provide accurate account information, keep your credentials confidential, and promptly notify us of any unauthorized use. You are responsible for all activities that occur under your account.

4. Acceptable Use

When using the Service, you agree not to:

  • Violate any law or the rights of others, including privacy and intellectual property rights.
  • Upload, post, or share content that is unlawful, harmful, deceptive, defamatory, or abusive.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to the Service or related systems.
  • Use the Service to send spam or unsolicited communications.

5. Events, Hosts, and Guests

The Service enables organizers ("Hosts") to create events and invite attendees ("Guests"). Hosts are solely responsible for the content of their events, compliance with applicable laws, and any promises or commitments made to Guests. We may share Host information with Guests and Guest information with Hosts as necessary to provide the Service, as described in our Privacy Policy.

6. Payments and Fees

Payments processed through the Service may be facilitated by third parties such as Stripe. By making or receiving payments, you agree to comply with the applicable third‑party terms. Fees, taxes, refunds, and chargebacks are the responsibility of the relevant parties per the event and payment policies established by Hosts and payment processors. Sila is not a bank, money transmitter, or insurer and does not guarantee refunds.

7. Communications

We may send you emails, in‑app messages, or SMS regarding your use of the Service. Where required, we will obtain your consent. You may opt out of non‑transactional messages at any time. Information from our short code SMS program is not shared with third parties for marketing or other unrelated reasons.

8. Your Content

You retain ownership of content you submit to the Service. You grant Sila, LLC a worldwide, non‑exclusive, royalty‑free license to host, store, reproduce, modify, and display your content solely to operate and improve the Service. You represent that you have all rights necessary to grant this license and that your content does not infringe the rights of others or violate law. We may remove content that violates these Terms.

9. Third‑Party Services

The Service may link to or integrate with third‑party websites, apps, or services. We do not control and are not responsible for third‑party content, policies, or practices.

10. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and share information.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if we reasonably believe you have violated these Terms or if required by law. Upon termination, the rights and licenses granted to you will cease, except for provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnity).

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Sila, LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless Sila, LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Service or violation of these Terms.

15. Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any disputes arising out of or relating to these Terms or the Service.

16. Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted on this page. Your continued use of the Service after the changes become effective constitutes your acceptance of the updated Terms.

17. Miscellaneous

These Terms constitute the entire agreement between you and Sila, LLC concerning the Service and supersede any prior or contemporaneous agreements. If any provision is held invalid, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent.
